Terms of Service

1. Agreement

These Terms of Service ("Terms") are a binding agreement between you and Evoforce, Inc. ("Evoforce," "we," "us," or "our"), the operator of Hello Doula (the "Service"). By creating an account or using the Service you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of the information you provide, for safeguarding your credentials, and for all activity under your account. Notify us promptly of any unauthorized use.

3. Your content and clients

You retain ownership of the content you upload or create in the Service, including client records, intake forms, contracts, notes, and files ("Customer Content"). You grant Evoforce a limited, worldwide license to host, process, display, and transmit Customer Content solely to operate and improve the Service for you. You are responsible for obtaining any consents from your clients required by law to store and process their information through the Service.

4. Acceptable use

  • Do not use the Service to violate any law or third-party right.
  • Do not upload content that is unlawful, harassing, defamatory, infringing, or malicious.
  • Do not attempt to interfere with, reverse engineer, scrape, or overload the Service, or access it by means other than the interfaces and instructions we provide.
  • Do not resell or sublicense the Service without our written permission.

5. Plans, fees, and trials

Paid plans are billed in advance on a recurring basis at the rates shown at sign-up. Free trials convert to paid plans at the end of the trial unless cancelled. Fees are non-refundable except where required by law. We may change pricing with reasonable advance notice; changes apply to subsequent billing periods.

6. Third-party services

The Service may integrate with third-party services (for example, payment processors, calendars, and AI providers). Your use of those services is governed by their own terms, and Evoforce is not responsible for them.

7. Medical disclaimer

Hello Doula is practice-management software for birth workers. It is not a medical device and does not provide medical advice, diagnosis, or treatment. Nothing in the Service is a substitute for professional clinical judgment or emergency care.

8. Termination

You may cancel your account at any time from your settings. We may suspend or terminate your access if you violate these Terms, fail to pay, or create risk for the Service or other users. On termination, your right to use the Service ends and we may delete Customer Content after a reasonable retention period; you should export your data before cancelling.

9. Disclaimers

The Service is provided "as is" and "as available." To the fullest extent permitted by law, Evoforce disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

10. Limitation of liability

To the fullest extent permitted by law, Evoforce and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the Service is limited to the amounts you paid Evoforce for the Service in the twelve months before the event giving rise to the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless Evoforce from any claims, losses, and expenses (including reasonable attorneys' fees) arising out of your Customer Content, your use of the Service, or your violation of these Terms.

12. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute will be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction there.

13. Changes

We may update these Terms from time to time. If we make material changes we will notify you through the Service or by email before they take effect. Continued use after changes become effective constitutes acceptance.
